Linking terms & conditions

VNU operates the following linking policy to its website located at www.vnunet.com ("VNU's Website")

If you ("You/Your") would like to place a hyperlink ("Link") to VNU's Website on your website ("Your Website") you must act in accordance with the following linking terms and conditions. Placing a Link on Your Website constitutes acceptance of these linking terms and conditions which take effect at the time You create the Link.
Terms and conditions
(a) You must act in accordance with the terms and conditions of use of VNU's Website ("Terms and conditions of use") which will continue to apply to You. In the event of conflict between the Terms and conditions of use and these Linking terms and conditions the latter shall prevail.

(b) If You do not accept these Linking Terms and Conditions You must not Link to VNU's Website.

(c) You may only use the names VNU or VNUNet and any VNU logo on Your Website in conjunction with the Link to VNU's Website.

(d) You may not materially alter the appearance of any VNU logo.

(e) You may not use the names VNU or VNUNet, the Link or any VNU logo in any way that may diminish or damage the goodwill in the names VNU or VNUNet or in VNU's Website, including, without limitation, uses that VNU deems obscene, pornographic, racist or excessively violent or to encourage unlawful activities or defamation.

(f) You may not use the names VNU or VNUNet, the Link or any VNU logo in any manner that implies that VNU endorses Your Website or any products or services that You may supply.

(g) You must include an acknowledgement on Your Website that the Link is to VNU's Website.

(h) VNU reserves the right to alter, modify or discontinue, at its sole discretion, the VNU Website or any content or material appearing on the VNU Website at any time.

(i) VNU makes no warranty, whether express or implied in relation to the VNU Website or any of the content or material appearing on the VNU Website including, without limitation, any implied conditions of satisfactory quality or fitness for a particular purpose.

(j) You agree that VNU shall not be liable in any manner whatsoever for any damages or losses incurred by You in connection with Your Link to the VNU Website including direct, special, indirect, economic or consequential losses or loss of profit, loss of revenue or loss of goodwill.

(k) You agree to indemnify VNU in respect of any loss or damage (including legal fees) incurred by it arising out of Your use of the names VNU or VNUNet, the Link or any VNU logo.

(l) VNU reserves the right to review Your use of the names VNU or VNUNet, the Link or any VNU logo on Your Site and You agree to provide VNU with access to Your Site to enable VNU to review Your use of such names, the Link or any VNU logo.

(m) VNU may, at any time, at its sole discretion, require You to discontinue Your use of the names VNU or VNUNet, the Link or any VNU logo on Your Site.

(n) You agree that Your Website shall not be operated in violation of any applicable law, rule or regulation.

(o) You agree that any information You may provide to VNU shall be accurate.

(p) You may not assign this agreement in whole or in part without the prior written consent of VNU.

(q) VNU reserves the right in its sole discretion to amend these Linking Terms and Conditions by providing you with prior written notice thereof.

(r) These Linking Terms and Conditions and the Terms and Conditions of Use constitute the entire agreement between the parties and supersede all oral or written agreements and understandings made and entered into by the parties prior to the date hereof.

(s) If any provision of these Linking Terms and Conditions or the Terms and Conditions of Use are held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

(t) These Linking Terms and Conditions and the Terms and Conditions of Use shall not be construed or deemed to create any partnership, joint venture, agency, franchise, or other form of agreement or relationship than as expressly set forth herein.

(u) These Linking Terms and Conditions shall be governed by the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
